Nominees

If you are a broker or other nominee that held shares of Series B Preferred Stock and/or Series C Preferred Stock of Cedar Realty Trust, Inc. as of the close of trading on March 2, 2022, for the beneficial interest of persons or entities other than yourself, you must within 10 calendar days of receiving the Postcard Notice:

  1. Provide a list of the names, last known addresses, and email addresses of all such beneficial owners to the Settlement Administrator; or,
  2. Request from the Settlement Administrator sufficient copies of the Postcard Notice to forward to all such beneficial owners, and mail those Postcard Notices yourself within 10 calendar days after receiving them.

If you are providing a list of names, addresses, and email addresses to the Settlement Administrator:

  1. Compile a list of names, last known addresses, and email addresses of the beneficial owners described above.
  2. Prepare the list in Microsoft Excel format using the template for submitting mailings data here. Failure to use this template may delay the submission of the mailing data.
  3. Then you must do one of the following:
    1. Log in to EpiqFiling to submit the completed template; or,
    2. Email the spreadsheet to info@CedarPreferredSettlement.com.

If you are requesting copies of the Postcard Notice to forward to beneficial owners yourself:

Copies of the Postcard Notice may be requested via email to info@CedarPreferredSettlement.com. If you are providing the Postcard Notice to beneficial owners, the mailing must be completed within 10 calendar days of your receipt of the Postcard Notices from the Settlement Administrator. Failure to timely forward the Postcard Notice to beneficial owners may affect their legal rights. If you elect to send Postcard Notices to beneficial owners, you must also send a statement to the Settlement Administrator via email to info@CedarPreferredSettlement.com confirming that the mailing was made, and must retain the mailing records for use in connection with any further notices that may be provided in the Lawsuit.

Expense Reimbursement:

You are entitled to reimbursement from the Settlement Fund of your reasonable expenses actually incurred in connection with the foregoing (including reimbursement of postage expense and the cost of ascertaining the names and addresses of beneficial owners), provided you timely submit an invoice to the Settlement Administrator. Please submit a copy of your invoice to the Settlement Administrator within one month of completing the mailing or providing the list of names and addresses. Send it to securitiesinfo@epiqglobal.com. Be sure to include the case name and "Reimbursement" in the subject line of your email.
